Welcome to Tobex ("Tobex," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of tobex.io, our services, and any proposals, projects, or communications between you and Tobex.

By using our website or engaging our services, you agree to these Terms.

1. About Tobex

Tobex is a technology partner providing custom software development, website design, cybersecurity, digital marketing, SEO, paid advertising, AI solutions, consulting, and related business technology services.

2. Quotes and Proposals

All pricing provided through proposals, consultations, or email is valid only for the period specified in the proposal.

Unless otherwise stated, proposals do not become binding until accepted by both parties.

Any estimates regarding timelines or project completion are good-faith estimates and may change based on project complexity, client feedback, requested revisions, or unforeseen technical circumstances.

3. Payments

Unless otherwise agreed in writing:

• Deposits are due before work begins.
• Remaining balances are due according to the proposal or invoice.
• Monthly services are billed in advance.
• Failure to pay may pause ongoing work until payment is received.

Tobex reserves the right to suspend services for overdue invoices.

4. Client Responsibilities

Clients agree to:

• Provide accurate project information.
• Supply required content, branding, and materials.
• Respond to review requests in a timely manner.
• Approve deliverables within a reasonable timeframe.
• Maintain ownership or permission to use all provided content.

Project delays caused by missing client information may extend delivery timelines.

5. Revisions

Unless otherwise specified in your proposal:

• Minor revisions are included.
• Additional revisions or changes beyond the agreed scope may require additional fees.

Requests that substantially change the original project may require a revised proposal.

6. Intellectual Property

Unless otherwise stated in writing and once all invoices have been paid in full:

The client owns:

• Their website
• Source code developed specifically for their project
• Branding assets provided by the client
• Domain names owned by the client
• Advertising accounts owned by the client
• Marketing materials created for the client

Tobex retains ownership of:

• Internal frameworks
• Reusable software libraries
• Development tools
• Templates
• Proprietary systems
• Internal methodologies

Nothing in these Terms transfers ownership of Tobex's internal technology.

7. Third-Party Services

Projects may rely on third-party providers including hosting companies, cloud services, payment processors, AI providers, email services, advertising platforms, and software vendors.

Tobex is not responsible for outages, pricing changes, policy changes, or service interruptions caused by third-party providers.

8. Service Availability

While we strive for reliable services, we cannot guarantee uninterrupted availability.

Scheduled maintenance, third-party outages, internet failures, or circumstances beyond our control may temporarily affect services.

9. Limitation of Liability

To the maximum extent permitted by law, Tobex shall not be liable for lost profits, lost business opportunities, indirect damages, consequential damages, data loss, or business interruption.

Our total liability for any claim shall not exceed the amount paid to Tobex for the specific service giving rise to the claim.

10. Termination

Either party may terminate services with written notice.

Clients remain responsible for payment for work completed before termination.

Upon full payment, completed project files and deliverables will be provided according to the project agreement.

11. Refunds

Refund eligibility depends on the stage of the project and any written agreement between Tobex and the client.

Completed work, completed consultations, custom development, and services already performed are generally non-refundable.

12. Governing Law

These Terms are governed by the laws of the State of California without regard to conflict of law principles.

Any disputes shall be resolved in the appropriate courts located in California.

13. Changes

We may update these Terms from time to time. The "Last updated" date above will always reflect the current version.
